Welcome to www.studiounni.com (the “Site”), operated by Studio Unni (“Studio Unni,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site and the purchase of our products, including custom ramen tables, ramen induction machines, and disposable induction ramen bowls.

By accessing or using the Site, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. General Use of the Site

  • You must be at least 18 years old and operating as a business owner or authorized representative to use this Site.
  • You agree to provide accurate, current, and complete information when placing orders or creating an account.
  • We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

2. Products and Orders

  • All products are sold for commercial use only (ramen shops, Korean convenience stores, food service businesses, etc.).
  • Custom products (especially ramen tables) are made-to-order based on your specifications. You are solely responsible for the accuracy of all measurements, designs, artwork, and information you provide.
  • We provide digital proofs for custom items. Your approval of the proof is final and makes the order non-cancellable and non-refundable.
  • All prices are subject to change without notice. We reserve the right to correct pricing or order errors even after an order is placed.

3. Payment

  • We accept the payment methods displayed at checkout.
  • All payments are processed securely. You authorize us to charge your payment method for the full order amount plus applicable taxes and shipping.
  • Orders are not binding until accepted and confirmed by us.

4. Shipping and Delivery

  • Shipping times are estimates only. We are not responsible for delays caused by carriers, customs, weather, or other events.
  • Risk of loss and title pass to you once the items leave our facility.
  • We are not liable for any damage, loss, or theft that occurs during shipping. Claims for shipping damage must be filed directly with the carrier.
  • You are responsible for all shipping costs and are strongly encouraged to purchase additional shipping insurance for high-value or large items.

5. Returns, Refunds, and Cancellations

All returns, refunds, and cancellations are governed by our Refund & Return Policy, which is incorporated into these Terms by reference. Please read it carefully before ordering.

In summary:

  • Most sales are final.
  • Custom products have very limited cancellation windows.
  • We offer no refunds for change of mind.
  • Defective item claims must be submitted within 48 hours of delivery.

6. Intellectual Property

  • All content on the Site, including text, images, logos, product designs, and videos, is owned by Studio Unni or its licensors and protected by copyright, trademark, and other intellectual property laws.
  • You may not copy, reproduce, modify, or distribute any Site content without our prior written consent.
  • By submitting artwork, logos, or designs for custom products, you represent that you own or have the right to use such materials and grant us a license to reproduce them for your order.

7. Warranties and Disclaimers

  • All products are provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied.
  • We disclaim all warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • We do not guarantee that our products will be compatible with your specific equipment, environment, or business operations.
  • Product images and descriptions are for illustration only and may differ slightly from the actual item.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Studio Unni shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost sales, business interruption, or loss of goodwill) arising from your use of the Site or purchase of products.
  • Our total liability to you shall not exceed the amount you actually paid for the specific product giving rise to the claim.
  • This limitation applies even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Studio Unni, its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Any artwork or designs you provide; or
  • Any claims by third parties related to your business operations.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of laws rules. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Imperial County, California. You agree to submit to the personal jurisdiction of such courts.

11. Changes to These Terms

We may update these Terms at any time. Continued use of the Site after changes constitutes your acceptance of the new Terms. We will post the updated “Last Updated” date at the top.
